SCOPE
These Terms and Conditions apply to the use of www.mariosobeats.com and to contracts concerning beat licences, digital content and music-related services offered by Marioso.
For beat purchases made through Airbit, the individual licence agreement displayed during checkout also applies. If these Terms conflict with the specific licence agreement, the specific licence agreement shall take precedence with regard to the permitted use of the beat.
Mandatory consumer protection rights remain unaffected.

USE OF THE WEBSITE
The content of this website is provided for general information and for the presentation, licensing and sale of beats and music-related services.
Users may access and use the website only for lawful purposes. Any misuse of the website, attempts to interfere with its operation or unauthorised access to technical systems are prohibited.
Information concerning beats, prices, licences, availability and services may be updated at any time. Changes do not affect contracts that have already been concluded.
AIRBIT BEAT STORE
The Airbit Beat Store is embedded into this website as a third-party service.
Airbit provides the technical platform used for browsing beats, selecting licences, processing orders, handling payments and delivering purchased files. Unless expressly stated otherwise, the contract for a beat licence is concluded between the purchaser and Marioso.
The purchaser may also be required to accept Airbit’s applicable terms, privacy policy and checkout conditions.
Marioso is not responsible for temporary technical interruptions, payment failures or other malfunctions caused exclusively by Airbit or another third-party payment provider.
CONCLUSION OF A CONTRACT
The presentation of beats, licences and services on this website does not itself constitute a binding contractual offer.
A binding order is placed when the customer completes the applicable checkout process or otherwise submits a binding service request. The exact process for beat purchases is determined by the Airbit checkout system.
The customer is responsible for checking the selected beat, licence type, price and order information before completing the purchase.
An order confirmation or licence confirmation may be sent electronically to the email address provided by the customer.
BEAT LICENCES
Beats may be offered under different licence categories, including Bronze, Silver, Gold and Exclusive licences.
The exact rights, limitations, permitted distribution numbers, royalty arrangements, file formats, Content ID permissions and other conditions are determined exclusively by the licence agreement shown to the customer before completing the purchase.
The purchase of a licence does not transfer ownership of the underlying beat, composition, master recording or copyright unless this is expressly stated in a written agreement.
Marioso retains all rights that are not expressly granted to the customer.
NON-EXCLUSIVE LICENCES
A non-exclusive licence allows Marioso to continue offering and licensing the same beat to other customers.
The customer receives only the usage rights expressly described in the selected licence agreement.
A non-exclusive licence does not grant the customer the right to claim exclusive ownership of the beat or prevent other authorised customers from using it.
EXCLUSIVE LICENCES
Where an Exclusive licence is purchased, the beat will no longer be offered for new licences after the exclusive sale has been completed.
Any valid non-exclusive licences sold before the exclusive purchase remain valid and are not cancelled retroactively.
Unless expressly agreed otherwise in writing, the underlying authorship and copyright remain with Marioso.
PRODUCER CREDIT
All releases using a beat licensed from Marioso must include the following producer credit:
“Produced by Marioso”
The credit must be included wherever production or songwriting credits can reasonably be displayed, including:
Streaming-service metadata
YouTube video descriptions
SoundCloud descriptions
Music-video credits
Album and single credits
Digital booklets
Physical releases
Promotional materials containing production credits
The credit requirement applies to Bronze, Silver, Gold and Exclusive licences unless Marioso expressly waives it in writing.
PROHIBITED USE
Unless expressly permitted by the selected licence agreement, the customer may not:
Resell, redistribute, share or upload the original beat file as a standalone product
Transfer or sublicense the licence to another person
Claim authorship or ownership of the original beat
Register the unaltered beat as the customer’s own work
Make the beat available in another beat store, sample library or stock-music library
Use the beat beyond the limits of the selected licence
Remove or falsify required producer credits
Register the beat with YouTube Content ID or a comparable system unless the selected licence expressly permits it
Use the beat for unlawful, defamatory or rights-infringing content
Unauthorised use may result in termination of the licence and the assertion of legal claims.
ROYALTIES, PUBLISHING AND REGISTRATION
Any royalty split, publishing share, songwriting share or other participation is determined by the selected licence agreement.
The customer must provide accurate production and songwriting information when registering or distributing a release.
Nothing in these Terms waives any royalty, publishing or authorship rights belonging to Marioso unless such waiver is expressly agreed in writing.
PRICES AND PAYMENT
The applicable price is the price displayed during checkout at the time the order is placed.
Prices may be displayed in US dollars or another currency supported by the payment platform. Currency-conversion fees, bank charges or payment-provider fees may apply depending on the customer’s location and chosen payment method.
Available payment methods are displayed during checkout. Payment processing may be carried out by Airbit and its payment-service providers.
The customer is responsible for providing complete and accurate billing and payment information.
DIGITAL DELIVERY
Purchased beat files and licence documents are delivered electronically through Airbit or by another method agreed with Marioso.
Delivery normally takes place after successful payment. Technical delays caused by payment verification, platform maintenance, incorrect customer information or circumstances outside Marioso’s control may affect delivery times.
The customer is responsible for downloading and securely storing the delivered files and licence documents.
CUSTOM BEATS, MIXING AND MASTERING
Custom beats, mixing, mastering and other individual music services are subject to a separate agreement or written offer.
The following details may be agreed individually:
Scope of the service
Price and payment schedule
Required source files
Number of revisions
Delivery format
Estimated completion date
Usage rights
Producer and engineering credits
Work begins after the required materials and any agreed advance payment have been received.
Unless otherwise agreed, additional revisions or changes outside the original scope may be charged separately.
CUSTOMER-PROVIDED MATERIAL
The customer confirms that they have all necessary rights and permissions for vocals, samples, instrumentals, recordings, artwork and other materials supplied to Marioso.
The customer may not provide material that unlawfully infringes copyrights, personality rights, trademarks or other third-party rights.
Marioso may refuse to process material where there are reasonable concerns regarding unlawful or unauthorised use.
DELIVERY TIMES FOR SERVICES
Any delivery date stated for an individual service is an estimate unless expressly agreed as a binding deadline.
Delivery periods may be extended where the customer submits materials late, requests additional changes, fails to respond or does not make an agreed payment on time.
Marioso will inform the customer of significant foreseeable delays.
RIGHT OF WITHDRAWAL
Consumers may have a statutory right of withdrawal in accordance with applicable law.
For digital content that is not supplied on a physical data carrier, the right of withdrawal may expire before the end of the withdrawal period if:
The consumer expressly agrees that performance may begin before the withdrawal period expires
The consumer confirms their knowledge that this agreement may cause the right of withdrawal to expire
The legally required contractual confirmation is provided
For services, the customer may be required to pay a reasonable amount for work already performed if the customer expressly requested that performance begin during the withdrawal period and subsequently exercises the right of withdrawal.
Further details are provided in the separate Cancellation Policy.
REFUNDS
Refund requests are assessed in accordance with statutory consumer rights, the selected licence agreement and the circumstances of the individual order.
Statutory rights relating to defective, unavailable or incorrectly delivered digital content remain unaffected.
Where a digital product has been correctly delivered and the statutory right of withdrawal has validly expired, a refund is not automatically available merely because the customer no longer wishes to use the product or selected the wrong licence.
Customers should contact info@mariosobeats.com promptly if there is a problem with an order.
DEFECTS AND CUSTOMER SUPPORT
If a delivered file is damaged, incomplete or cannot be accessed, the customer should contact Marioso and provide the order information and a description of the problem.
Where legally required, Marioso will attempt to correct the issue, provide a replacement download or offer another appropriate remedy.
Mandatory statutory warranty rights remain unaffected.
COPYRIGHT AND WEBSITE CONTENT
All original beats, audio recordings, compositions, logos, graphics, photographs, videos, text and other content on this website are protected by copyright and other applicable laws.
Website content may not be copied, reproduced, distributed, modified or commercially exploited without prior permission unless such use is permitted by law or by an applicable licence.
The names “Marioso” and “Viva Latino Music”, together with the corresponding logos and branding, may not be used in a misleading manner.
TECHNICAL AVAILABILITY
Marioso aims to keep the website and offered services available, but uninterrupted or error-free operation cannot be guaranteed.
Temporary restrictions may occur due to maintenance, security measures, platform failures, internet disruptions or circumstances beyond reasonable control.
Marioso may update, modify or discontinue website features where reasonably necessary.
LIABILITY
Marioso is liable without limitation for damage caused intentionally or through gross negligence, for injury to life, body or health, under mandatory product-liability provisions and where a guarantee has expressly been given.
In cases of slight negligence involving an essential contractual obligation, liability is limited to the foreseeable damage typical for this type of contract.
An essential contractual obligation is an obligation whose fulfilment is necessary for proper performance of the contract and on whose fulfilment the customer may normally rely.
Any further liability for slight negligence is excluded to the extent permitted by law. Mandatory statutory liability remains unaffected.
TERMINATION OF A LICENCE
A licence may be terminated where the customer materially breaches the licence agreement, particularly through unauthorised distribution, resale, Content ID registration, removal of required credits or use beyond the granted rights.
Before termination, the customer may be given a reasonable opportunity to remedy the breach where appropriate and legally required.
Termination does not prevent Marioso from asserting claims arising from earlier unauthorised use.
DATA PROTECTION AND COOKIES
Information concerning the processing of personal data is available in the Privacy Policy.
Information concerning cookies, analytics and external content is available in the Cookie Policy.
External services such as Airbit and YouTube are loaded in accordance with the consent options provided on this website.
GOVERNING LAW
These Terms and the contractual relationship are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods.
For consumers, this choice of law does not remove mandatory protections granted by the law of the country in which the consumer has their habitual residence.
PLACE OF JURISDICTION
The statutory rules concerning jurisdiction apply to consumers.
Where the customer is a merchant, a legal entity under public law or has no general place of jurisdiction in Germany, the courts responsible for Essen, Germany, shall have jurisdiction to the extent permitted by law.
CHANGES TO THESE TERMS
These Terms may be updated where changes to the website, offered services, legal requirements or third-party platforms make an update necessary.
The version applicable at the time a contract is concluded remains relevant to that contract unless a change is required by mandatory law or expressly agreed by both parties.
SEVERABILITY
If an individual provision of these Terms is invalid or unenforceable, the remaining provisions remain unaffected. The applicable statutory provision shall replace the invalid or unenforceable provision.
